These Terms & Conditions ("Terms") govern your use of the website and services provided by NexaCore Consultancy Services ("NexaCore", "we", "us", or "our"), a software engineering studio based in Patna, Bihar, India. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Services

NexaCore provides software design, development, and consulting services including web platforms, mobile applications, product engineering, and custom software and AI solutions. The specific scope, deliverables, timeline, and fees for any engagement are defined in a separate written proposal or agreement.

2. Proposals & Engagements

• Each project is quoted as a fixed scope unless otherwise agreed in writing.
• Work begins only after a written agreement and any required deposit are received.
• Changes to an agreed scope may affect the timeline and cost and will be quoted before being undertaken.

3. Intellectual Property & Ownership

Upon full payment for an engagement, all source code, design files, and intellectual property created specifically for the client are transferred to and owned by the client. NexaCore retains the right to use general knowledge, techniques, and non-confidential components for other work, and to reference completed projects in its portfolio unless otherwise agreed under an NDA.

4. Confidentiality

We treat client information and ideas as confidential and will sign a Non-Disclosure Agreement (NDA) on request. We do not share your data or ideas with third parties except as required to deliver the agreed services.

5. Payments

• Fees and payment milestones are set out in the project agreement.
• Invoices are due within the period stated on the invoice.
• Deliverables and IP transfer are contingent on full payment.

6. Timelines

We provide good-faith estimates and clear milestones. Delivery dates depend on timely client feedback, content, access, and approvals. Delays caused by the client may extend the timeline accordingly.

7. Warranties & Support

We deliver work to professional standards and will correct defects reported within the agreed warranty period at no charge. Ongoing maintenance and support beyond the warranty period may be provided under a separate agreement.

8. Limitation of Liability

To the maximum extent permitted by law, NexaCore's total liability arising from any engagement is limited to the fees paid for that engagement. We are not liable for indirect, incidental, or consequential damages.

9. Third-Party Services

Projects may rely on third-party platforms, APIs, or libraries. We are not responsible for the availability, changes, or terms of such third-party services.

10. Termination

Either party may terminate an engagement with written notice as defined in the project agreement. The client is responsible for fees for work completed up to the termination date.

11. Changes to These Terms

We may update these Terms from time to time. The latest version will always be available on this page with the updated date.
